	I, the purchaser named above, claim the right to make non-taxable purchases for resale of the taxable items available to me through Handley House. I hereby certify that this merchandise is purchased for resale and I understand that if I make any use of the item(s) other than retention, demonstration, or display while holding it for sale, lease, or rental, I must pay Sales Tax on the item at the time of use based upon either the purchase price or the fair market rental value for the time period used. I further understand that it is a misdemeanor to give a Resale Certificate to a seller for taxable items which I know are purchased for use rather than resale, rental or lease.

	IMPORTANT: PLEASE READ CAREFULLY

	Applicant understands that if accepted as an account of Handley House all orders will be subject to acceptance at its home office, 2 Forth Street, Wheeling, WV 26003, and at all terms and conditions current at the time of order acceptance. Prices, terms and special discounts may be changed without prior notice to the customer. Discounts are allowed only if account is in current status. Applicant further agrees that if accepted as an account all orders will be deemed to have been entered into in Ohio County, West Virginia, and shall be interpreted in accordance with the laws of the State of West Virginia. Applicant understands that payment is due according to terms and discounts stated on each invoice and that discounts are allowed only if payment is postmarked on or before due date indicated on the invoice. Applicant agrees that a service charge of 1 -1/2% per month (18% per annum) or the highest legal rate will be charged on past due accounts. Applicant agrees to pay actual costs of collection including attorney fees and court costs in the event the account becomes past due and is placed with a third party for collection. Applicant also agrees that in the event any portion of an open account becomes delinquent any and all invoices on the account, including future dated invoices shall become due and payable immediately. Applicant agrees to notify Handley House in writing within ten days of any change in partnership, corporate or legal structure of applicant's business and further agrees that applicant will continue to remain liable to Handley House for any unpaid balance due. Applicant is defined as the legal entity requesting account.
